Designation

IQLS (Integrated Quality Laboratory Services, www.iqls.net) is a consulting agency that aims to promote and strengthen the activities of laboratories worldwide. Our goal is to improve human and animal health in emerging and developing countries, especially those affected by infectious diseases. We do this by providing strategic development advice, evaluation services, training as well as the practical implementation of laboratory networks.

IQLS provides training at its head office located at 207 rue Francis de Pressensé – 69100 Villeurbanne, France.

In the following paragraphs, it is agreed that the following should refer to:

Client: any natural or legal person who registers or orders a training course with IQLS
T&C: the Terms and Conditions, detailed below.

Purpose and scope

These T&C determine the conditions applicable to the training services provided by IQLS on behalf of a Client. Any training order from the company implies the Client’s unreserved acceptance of these Terms and Conditions. These terms and conditions take precedence over any other document of the Client, particularly any general terms and conditions of purchase.

These T&C may be updated by IQLS at any time. The latest version is always available at the IQLS website www.iqls.net. These modifications cannot give rise to any right to compensation for the benefit of the Client.

Registration procedure and contractual documents

Any order expressly formulated by the registration form on the IQLS website is firm and final and entails the Client’s full and complete acceptance of these T&Cs. The Client then undertakes to be present on the dates, places and times scheduled. The order must necessarily indicate the Client’s contact details (surname, first name, address, company name if applicable) and the chosen training course (title, date). The registration is valid only when the payment of the training has been made in full via PayPal, by credit card or after receipt of the bank transfer.

For any registration, an acknowledgment of receipt is sent to the Client within less than 5 working days following receipt of the registration request. This acknowledgment of receipt does not constitute a confirmation of the training session.

The confirmation of the training session will be sent no later than 2 months before the starting date of the training. The Client will receive an invitation and all practical information relating to the training, including the exact times and the place of the training.

At the Client’s request, a certificate of attendance or completion of the training, an invoice, as well as attendance sheets can be provided.

Prices and terms of payment

The prices of the training courses are indicated in euros including VAT (20% rate in France). Payment must be made during online registration. Payment can be made by credit card, PayPal or bank transfer.

The price of the training includes:

5 days of face-to-face training at the IQLS’ premises
Training materials in paper and digital format
Lunches and coffee breaks provided on-site during the training

Catering costs and training materials included in the registration fees are an integral part of the service and cannot be deducted from the sale price.

Right of withdrawal

The Client has the right to withdraw after having registered for the training by contacting IQLS via the online form on the training webpage or by any other communication means stated in these T&C.

The withdrawal period is 14 days from the date of the Client’s registration for the training. IQLS has 14 days to reimburse the Client who exercised his right of withdrawal.

Conditions for postponing and canceling a training session

The cancellation or postponement of a training session is possible, according to the following conditions:

IQLS reserves the right to cancel or postpone a training session, in particular due to the number of registrations below the minimum number of participants indicated on the IQLS website, and to inform the Client no later than 2 months before the start date of the training.

In the event of cancellation of the session, IQLS may offer Clients who have already registered to participate in another session or refund the full price paid.

The Client may request the cancellation of his/her participation in the training by contacting IQLS in writing. In the event of cancellation by the Client of his/her participation, the refund will be made according to the following terms:

Cancellation at least 15 working days before the start date of the training: 50% refund of the amount of the service
Cancellation less than 15 working days before the start date of the training: no refund is due to the Client

The Client may request the replacement of the participant, free of charge, up to 30 days before the start of the training. A written replacement request must be sent to IQLS and include the name and contact information of the substitute. It is then the Client’s responsibility to check the adequacy of the participant’s profile and objectives with those defined in the training program as well as whether the substitute has the necessary documents (passport, visa, etc.) allowing him to go to the training site.

In the event of non-performance of its obligations following a fortuitous event or a case of force majeure, IQLS cannot be held liable to its Clients. They will be informed by e-mail.

Training modalities

IQLS is free to use the pedagogical methods and tools of its choice, which fall within its sole competence.

For the quality of the training, a minimum and maximum number of participants are defined for each training. IQLS undertakes not to exceed the number provided.

If he deems it necessary, the instructor may modify the content of the training according to current events, group dynamics, or the level of the participants. The content of the programs on the presentation sheets is therefore provided for information purposes only.

Training participants are required to comply with the IQLS internal regulations. IQLS reserves the right, without compensation of any kind, to exclude at any time, any participant whose behavior hinders the smooth running of the training and/or seriously breaches the internal rules.

Intellectual Property and Copyright

Training materials, regardless of their form (paper, digital, electronic, etc.), are protected by intellectual property and copyright. Their reproduction, in whole or in part, may not be carried out without the express consent of the company. The Client undertakes not to use, transmit or reproduce all or part of these documents to organize or lead training courses.

Information Technology and Civil Liberties

The personal information communicated by the Client to IQLS is useful for the processing of the registration as well as for the creation of a client file for commercial prospecting. In accordance with the French Data Protection Act of 6 January 1978, the Client has the right to access, rectify and oppose personal data concerning him/her.

IQLS undertakes to apply appropriate administrative, physical and technical measures to preserve the security, confidentiality and integrity of the Client’s data. It shall refrain from disclosing the Client’s data, except in the case of legal constraint.

Governing Law and Jurisdiction

These T&C are governed by French law. In the event of a dispute arising between IQLS and the Client, the search for an amicable solution will be preferred. Otherwise, the case will be brought before the courts of Lyon.

Désignation

Notre objectif est d’améliorer la santé publique et animale dans les pays émergents et en développement, en particulier ceux touchés par les maladies infectieuses. Nous faisons cela en fournissant des conseils de développement stratégique, des services d’évaluation, de la formation ainsi qu’en mettant en œuvre de manière pratique des réseaux de laboratoires.

La société IQLS dispense des formations à son siège social situé au 207 rue Francis de Pressensé – 69100 Villeurbanne, France.

Dans les paragraphes qui suivent, il est convenu de désigner par :

Client : toute personne physique ou morale qui s’inscrit ou passe commande d’une formation auprès de la société IQLS
CGV : les conditions générales de vente, détaillées ci-dessous.

Objet et champ d’application

Les présentes Conditions Générales de Vente déterminent les conditions applicables aux prestations de formation effectuées par la société IQLS pour le compte d’un Client. Toute commande de formation auprès de la société implique l’acceptation sans réserve du Client des présentes Conditions Générales de Vente. Ces conditions prévalent sur tout autre document du Client, en particulier sur toutes conditions générales d’achat.

Ces Conditions Générales de Vente sont susceptibles d’être mises à jour en cours d’exercice. Le site Internet www.iqls.net porte toujours la dernière version à la connaissance de tous. Ces modifications ne peuvent ouvrir de droit à aucune indemnité au profit du Client.

Modalités d’inscription et documents contractuels

Toute commande expressément formulée par le formulaire d’inscription sur le site internet d’IQLS est ferme et définitive et emporte l’adhésion pleine et entière du Client aux présentes CGV. Le Client s’engage alors à être présent aux dates, lieux et heures prévus. La commande doit nécessairement indiquer les coordonnées du Client (nom, prénom, adresse, raison sociale le cas échéant) et la formation choisie (intitulé, date). L’inscription n’est valide que lorsque le paiement de la formation a été réalisé dans sa totalité via PayPal, par carte bancaire ou après réception du virement bancaire.

Pour toute inscription, un accusé de réception est adressé au Client dans des délais inférieurs à 5 jours ouvrés suivant la réception de la demande d’inscription. Cet accusé de réception ne vaut pas confirmation de la tenue de la formation.

La confirmation de la tenue de la session aura lieu au plus tard 2 mois avant la date de début de la formation, le Client recevra une convocation et toutes informations pratiques relatives à sa formation, dont les horaires exacts et le lieu de la formation.

À la demande du Client, une attestation de présence ou de fin de formation, une facture de la formation, ainsi que des feuilles d’émargement peuvent lui être fournies.

Prix et modalités de paiement

Les prix des formations sont indiqués en euros toutes taxes comprises (au taux de TVA française 20%). Le paiement est à effectuer lors de l’inscription en ligne au comptant. Le règlement peut être effectué par carte bancaire, PayPal ou virement bancaire.

Le coût de la formation comprend :

5 jours de formation en présentiel dans les locaux d’IQLS
Supports pédagogiques sous format papier et numérique
Déjeuners et pauses café sur place pendant la formation

Les frais de restauration et supports éventuellement inclus dans l’inscription font partie intégrante de la prestation et ne peuvent être décomptés du prix de vente.

Droit de rétractation

Le client a le droit de se rétracter après avoir effectué son inscription à la formation en contactant IQLS via le formulaire en ligne sur la page de la formation ou tout autre moyen de communication indiqué dans les présentes CGV.

Le délai de rétractation est de 14 jours à compter de l’inscription du client à la formation. IQLS dispose de 14 jours pour rembourser le client qui exerce son droit de rétractation.

Conditions de report et d’annulation d’une session de formation

L’annulation ou le report d’une session de formation est possible, selon les modalités suivantes :

IQLS se réserve le droit d’annuler ou de reporter une session de formation, notamment en raison de nombre d’inscriptions inférieur au nombre minimum de participants indiqué sur le site internet d’IQLS, et d’en informer le Client au plus tard 2 mois avant la date de début de la formation.

En cas d’annulation de la session, IQLS pourra proposer aux Clients déjà inscrits de participer à une autre session ou de leur rembourser l’intégralité du prix payé.

Le Client peut demander l’annulation de sa participation à la formation en contactant IQLS par écrit. En cas d’annulation par le Client de sa participation, le remboursement s’effectuera selon les modalités suivantes :

Annulation au moins 15 jours ouvrés avant la date de début de la prestation : remboursement à 50% du montant de la prestation
Annulation moins de 15 jours ouvrés avant la date de début de la prestation : aucun remboursement n’est dû au Client

Le Client peut demander le remplacement du participant, sans frais, jusqu’à 30 jours avant le début de la formation. La demande de remplacement doit parvenir par écrit à IQLS et comporter les noms et coordonnées du remplaçant. Il appartient alors au Client de vérifier l’adéquation du profil et des objectifs du participant avec ceux définis dans le programme de la formation ainsi que si le remplaçant possède les documents nécessaires (passeport, visa, etc.) lui permettant de se rendre sur le lieu de la formation.

En cas d’inexécution de ses obligations suite à un événement fortuit ou à un cas de force majeur, la société IQLS ne pourra être tenue responsable à l’égard de ses clients. Ces derniers seront informés par courrier électronique.

Modalités de formation

IQLS est libre d’utiliser les méthodes et outils pédagogiques de son choix, qui relèvent de sa seule compétence.

Pour la qualité de la formation, un nombre minimum et un nombre maximum de participants sont définis pour chaque formation. IQLS s’engage à ne pas dépasser le nombre prévu.

S’il le juge nécessaire, l’intervenant pourra modifier les contenus des formations suivant l’actualité, la dynamique de groupe, ou le niveau des participants. Les contenus des programmes figurant sur les fiches de présentation ne sont ainsi fournis qu’à titre indicatif.

Les participants des formations sont tenus de respecter le règlement intérieur d’IQLS. IQLS se réserve le droit, sans indemnité de quelque nature que ce soit, d’exclure à tout moment, tout participant dont le comportement gênerait le bon déroulement de la formation et/ou manquerait gravement au règlement intérieur.

Propriété intellectuelle et droit d’auteur

Les supports de formation, quelle qu’en soit la forme (papier, numérique, électronique…), sont protégés par la propriété intellectuelle et le droit d’auteur. Leur reproduction, partielle ou totale, ne peut être effectuée sans l’accord exprès de la société. Le Client s’engage à ne pas utiliser, transmettre ou reproduire tout ou partie de ces documents en vue de l’organisation ou de l’animation de formations.

Informatique et libertés

Les informations à caractère personnel communiquées par le Client à la société IQLS sont utiles pour le traitement de l’inscription ainsi que pour la constitution d’un fichier clientèle pour des prospections commerciales. Suivant la loi « informatique et libertés » du 6 janvier 1978, le Client dispose d’un droit d’accès, de rectification et d’opposition des données personnelles le concernant.

La société IQLS s’engage à appliquer les mesures administratives, physiques et techniques appropriées pour préserver la sécurité, la confidentialité et l’intégrité des données du Client. Elle s’interdit de divulguer les données du Client, sauf en cas de contrainte légale.

Loi applicable et attribution de compétence

Les présentes Conditions Générales de Vente sont encadrées par la loi française. En cas de litige survenant entre la société IQLS et le Client, la recherche d’une solution à l’amiable sera privilégiée. À défaut, l’affaire sera portée devant les tribunaux de Lyon.

Наша цель заключается в повышении уровня качества здравоохранения в развивающихся странах, в частности, в странах, затронутых инфекционными заболеваниями. Мы осуществляем нашу деятельность, предоставляя консультации по стратегическому развитию, услуги по оценке, организации тренингов и семинаров, а также через практическое внедрение лабораторных сетей.

IQLS проводит тренинги в своем головном офисе, расположенном по адресу: 207 rue Francis de Pressensé – 69100 Villeurbanne, France.

В нижеследующих пунктах указаны определения следующих понятий, используемых в настоящих Общих условия продажи:

Клиент: любое физическое или юридическое лицо, регистрирующееся или осуществляющее заказ тренинга у компании IQLS
Условия: Общие условия продажи, подробно описанные ниже.

Назначение и область применения

Настоящие Условия определяют порядок, условия, применимые к услугам по обучению, предоставляемым Клиенту компанией IQLS. Любой заказ на оказание услуг по обучению у компании подразумевает безоговорочное согласие Клиента с настоящими Условиями. Настоящие Условия имеют приоритет над любым другим документом Клиента, в частности, над общими условиями покупки.

Настоящие Условия могут быть изменены и обновлены в любое время путем размещения актуализированной версии Условий на интернет-сайте www.iqls.net. Никакие изменения настоящих Условий не могут служить основанием для компенсации или неустойки в пользу Клиента.

Процедура регистрации и договорная документация

Заказ услуг, осуществленный через форму регистрации на интернет-сайте IQLS, является окончательным и влечет за собой полное и безоговорочное согласие Клиента с настоящими Условиями. Клиент обязуется присутствовать в назначенное места и время на месте оказания услуг. Заказ должен обязательно содержать контактные данные Клиента (фамилия, имя, адрес и название компании, если применимо) и выбранный курс обучения (название, дата). Регистрация действительна только в случае произведения оплаты обучения в полном объеме через PayPal, кредитной картой, либо после получения банковского перевода.

Подтверждение регистрации отправляется Клиенту в течение не более 5 рабочих дней после получения запроса на регистрацию. Подтверждение регистрации не является окончательным подтверждением проведения тренинг-сессии.

Окончательное проведение сессии осуществляется не позднее, чем за 2 месяца до даты начала тренинга. Клиенту направляется приглашение и практическая информация касательно тренинга, включая точное время и место проведения сессии.

По желанию Клиента ему может быть предоставлена справка о посещении или о прохождении тренинга, счет за оказание услуг, а также списки посещаемости.

Цена и условия оплаты

Цены на тренинги указаны в евро с учетом НДС (20% в соответствии с французским законодательством). Оплата осуществляется в ходе онлайн-регистрации и может быть произведена кредитной картой, PayPal или банковским переводом.

В стоимость тренинга входит:

5 дней очного обучения в помещениях IQLS
Учебно-методические материалы в бумажном и цифровом формате
Обеды и кофе-брейки на месте во время тренинга

Расходы на питание и материалы, которые могут быть включены в стоимость регистрации, являются неотъемлемой частью услуги и не могут быть вычтены из цены тренинга.

Право на отказ

Клиент имеет право отказаться от участия в тренинге после регистрации, посредством связи с IQLS через онлайн-форму на странице обучения или любым другим средством связи, указанным в настоящих Условиях.

Срок права на отказ составляет 14 дней с момента регистрации клиента. IQLS располагает сроком в 14 дней для возврата оплаты Клиенту, воспользовавшемуся правом на отказ.

Условия переноса и отмены тренинга

Отмена или перенос тренинга возможны согласно следующим условиям:

IQLS оставляет за собой право отменить или перенести тренинг, в частности в случае если количество осуществленных регистраций ниже минимального количества участников тренинга, указанного на интернет-сайте IQLS, и сообщить об этом Клиенту не позднее, чем за 2 месяца до даты начала тренинга.

В случае отмены сессии IQLS может предложить уже зарегистрировавшимся Клиентам, принять участие в другом сессии или вернуть оплату в полном объеме.

Клиент может отправить запрос на отмену участия в тренинге, обратившись в IQLS в письменной форме. В случае отказа Клиента от участия возврат денежных средств осуществляется в соответствии со следующими условиями:

Отмена не менее чем за 15 рабочих дней до даты начала тренинга: возврат 50% от стоимости
Отмена менее чем за 15 рабочих дней до даты начала тренинга: возврат средств Клиенту не производится.

Клиент может бесплатно попросить о замене участника не позднее, чем за 30 дней до начала обучения. Запрос на замену должен быть отправлен IQLS в письменной форме с указанием имени и контактной информации заменяющего участника. На Клиенте лежит ответственность за проверку соответствия профиля и целей участника профилю и целям, указанным в программе тренинга, а также наличие у замещающего участника необходимых документов (паспорта, визы и т.д.), позволяющих ему прибыть на место проведения тренинга.

В случае невыполнения своих обязательств в результате случайного события или форс-мажорных обстоятельств IQLS не несет ответственности перед Клиентом. Все Клиенты будут проинформированы по электронной почте.

Условия проведения тренинга

IQLS имеет право по своему исключительному усмотрению использовать те, педагогические методы и техники, которые считает наиболее подходящими для проведения конкретного тренинга.

Для оптимального качества тренинга, для каждой сессии определяется минимальное и максимальное количество участников. IQLS обязуется не превышать указанное количество участников.

По своему усмотрению, проводящей тренинг преподаватель может изменить содержание тренинга в соответствии с текущим контекстом, групповой динамикой или уровнем участников. Представленная в коммуникационных материалах программа тренинга предоставляется исключительно в информационных целях.

Участники тренинга обязуются соблюдать правила внутреннего распорядка IQLS. IQLS оставляет за собой право без какой-либо компенсации в любой момент исключить любого участника, чье поведение препятствует проведению тренинга и/или серьезно нарушает внутренние правила.

Интеллектуальная собственность и авторское право

Все учебные материалы, независимо от их формы (бумажные, цифровые, электронные и т.д.), являются интеллектуальной собственностью и защищены авторским правом. Полное или частичное воспроизведение любых материалов не может быть осуществлено без явного согласия компании. Клиент обязуется не использовать, не передавать и не воспроизводить полностью или частично переданные ему учебные материалы, в частности с целью организации или проведения учебных курсов или тренингов.

Информационные технологии и гражданские свободы

Предоставленные Клиентом персональные данные используются IQLS для его регистрации, а также для клиентской базы данных для маркетинговых целей. В соответствии с Законом Франции о защите данных от 6 января 1978 г., Клиент имеет право на получение доступа, исправление и удаление касающихся его персональных данных.

IQLS обязуется применять все необходимые административные, физические и технические меры для обеспечения безопасности, конфиденциальности и целостности данных Клиента. Компания обязуется не разглашать данные Клиента, за исключением случаев, предусмотренных законодательством.

Законодательство и юрисдикция

Настоящие Условия продажи регулируются французским законодательством. В случае возникновения спора между IQLS и Клиентом, стороны примут все меры для их разрешения путем переговоров. В случае если согласие не будет достигнуто путем переговоров, все споры, разногласия и конфликты будут разрешаться судом Лиона.
